Abstract本文通过实证研究方法考察了我国上市公司强制全面要约制度的演进及其广泛存在的规避现象。实践中收购人规避了所有由协议收购和间接收购触发的强制全面要约义务，而国资委推动的自愿私有化全面要约案例没有发生规避现象。本文阐释了法律规避的产生原因及其对投资者利益和上市公司治理的不利影响，建议我国鼓励收购人采用自愿要约收购方式，逐渐地废除强制全面要约制度。在此之前，立法应修改有缺陷的要约价格规则，处罚故意失败的要约，加强收购中的董事信义义务。
